The problem this seat exists to solve
The director will contribute financial expertise to oversight of resource investments and joint arrangements. The role requires attention to the commercial substance, decision rights and obligations that determine how an investment is reported and monitored.
Qualified candidates
Candidates should have significant accounting or senior finance experience involving investments, joint ventures or resource structures. They need practical audit oversight and Canadian issuer-governance knowledge. The ability to interpret agreements with specialist support and explain their financial consequences is essential.
Examine rights, downside obligations and audit coverage
Challenge management's assessment of control, influence and contractual obligations under the applicable reporting framework. Review the completeness and timeliness of information received from partners. Ask how differences in policies, reporting periods or data quality are addressed before results enter the issuer's accounts.
An investment may require funding beyond its recorded carrying amount. The director should ask how capital commitments, support arrangements and contingent exposure are identified and disclosed. Where a partner is under pressure, assess the implications for information reliability, available cash and the investment's operating assumptions.
Contribute to review of the assurance available over material investment information. Identify gaps between what management receives and what the committee needs to evaluate reporting conclusions. Specialist or partner-provided reports should be considered in light of their scope rather than accepted as universal assurance.
Evidence of useful judgement
Applicants should discuss an arrangement whose legal form or commercial description did not fully explain its financial-reporting consequences. The board needs someone who can ask precise questions and recognise when additional evidence is required.
The appointment is non-executive. Management owns accounting preparation and partner administration; the director strengthens oversight and communicates material issues to the wider board. Formal independence and committee eligibility must be assessed for the actual office, with conflicts arising from other investment relationships disclosed transparently.
