The problem this seat exists to solve
Candidates should have deep accounting and financial reporting expertise, audit committee leadership and Canadian public-issuer governance experience. Resource valuation or comparable long-lived asset experience is important. They must be able to challenge judgement without demanding that uncertain future outcomes be presented as known facts.
Interpret the operating case inside the estimate
The chair will oversee financial reporting where asset conclusions depend on resource plans, costs, prices and financing expectations. The committee must understand the evidence and sensitivity behind management's judgement without mistaking a detailed model for certainty.
Require management to explain which changes would alter the conclusion and how plausible those changes are. Review whether several adverse movements could occur together. A narrow sensitivity around one favourable assumption may provide less useful information than a coherent alternative operating case.
Use expertise without surrendering committee judgement
Lead review of significant asset assessments and associated disclosures. Ask whether assumptions are consistent with the operating plan and other financial estimates. Examine the process for recognising developments that require reassessment rather than waiting for a scheduled annual exercise.
Discuss the audit approach and any specialist work with the external auditor. Understand the scope and limitations of technical reports used by management. The committee should know which inputs are independently supported, which are management estimates and which remain uncertain.
The chair should provide a clear explanation of the conclusion, the evidence supporting it and the developments that could change it. Applicants should discuss a situation where different plausible assumptions produced materially different outcomes and explain how the committee approached the reporting decision.
Management retains responsibility for estimates and financial statement preparation. The chair's role is to ensure a disciplined process, sufficient challenge and transparent communication. Appointment eligibility and independence must be established for the particular issuer, together with any relevant committee requirements.
