The problem this seat exists to solve
The director will strengthen audit oversight where a resource business has reporting obligations in Canada and the United States. The role requires disciplined coordination of common source information, jurisdiction-specific requirements and the decisions each filing needs.
Cross-border financial judgement required
Candidates should have deep financial reporting expertise and direct familiarity with audit oversight across Canadian and United States public-issuer environments. Resource-sector experience is important. They need to explain differences clearly while recognising when specialist accounting or legal interpretation is required.
Build a coherent reporting and assurance picture
Review the reporting map, significant estimates and the ownership of reconciliations. Ask how a late change in one reporting package reaches every other affected disclosure. Examine whether management has the resources and expertise to maintain the process without relying on informal coordination among advisers.
Understand the audit approach, relevant specialist involvement and unresolved interpretations. Help the committee identify where apparently different conclusions reflect different requirements and where they reveal an inconsistency that needs resolution. Significant issues should not disappear because each workstream assumes another is responsible.
Board judgement during a compressed close
Consider a material operating development arriving shortly before one filing date but after another package has been substantially prepared. Establish the evidence, review and escalation required. The director should ensure the timetable supports reliable decisions rather than treating compliance with each deadline as an independent administrative task.
Applicants should discuss a cross-border reporting issue involving conflicting timetables or interpretations and explain how consistency was maintained. The board should receive a concise account of what differs, why it differs and what decisions remain outstanding.
This is a board appointment with audit-related contribution, not a role preparing parallel financial statements. Management and appointed assurance providers retain their responsibilities. Independence and any committee-specific qualification or expert designation must be assessed under the frameworks applicable to the actual appointment.

- Work authorisation
- A non-resident director attending board meetings does not require a work permit; board attendance falls within permitted business-visitor activity. Executive and interim operating roles require authorisation.
