The problem this seat exists to solve
The audit chair will oversee financial reporting in mining-related services, where work performed, contract changes and collection may progress on different timelines. The committee needs to distinguish realised performance from estimates that remain exposed to commercial or operational uncertainty.
Trace the estimate through contract performance
Follow the original terms, approved changes, work evidence, billing and cash receipts. Determine who verifies progress and how estimates are updated when delivery departs from plan. Where a margin increase rests on a revised forecast, require an explanation of the evidence supporting the change and the risks that remain.
Chair the reporting and control review
Lead review of revenue, work in progress, contract margins and receivable recoverability. Examine how management identifies disputed variations and obligations not yet invoiced. Ask whether operational reports and financial records provide a consistent account of progress.
The chair should ensure significant judgements reach the committee early enough for challenge. A last-minute adjustment may solve a reporting issue while leaving the underlying information weakness untouched.
Discuss scope, independence and significant findings with the external auditor. Review management's remediation of weaknesses at the interface between sites, commercial teams and finance. The committee should understand whether a finding reflects an isolated error or a process that cannot reliably produce the necessary evidence.
Qualifications and a clear governance boundary
Candidates should have deep financial reporting expertise and audit oversight experience, with Canadian public-issuer governance knowledge. Contract-based industrial or mining-services experience is important. They must understand the commercial context without allowing pressure to preserve a margin forecast to override supportable reporting.
Applicants should discuss a contract whose reported results improved while cash or delivery evidence deteriorated. Explain how the issue was investigated and how conclusions were communicated to the board.
The chair provides informed oversight, not contract management or financial statement preparation. Effective service should improve the quality of estimates, the completeness of obligations and the committee's ability to recognise when a commercial problem requires a different level of audit attention.
