The problem this seat exists to solve
The audit chair will oversee financial reporting where long-lived resource assets and future obligations require substantial judgement. The committee must understand how technical assessments, operating plans and financial assumptions combine, and how changes should reach the accounts.
Qualified candidates
Candidates should have substantial financial reporting and audit committee experience, with familiarity with Canadian issuer governance. Resource-sector or other long-lived industrial asset experience is strongly relevant. They need to evaluate uncertain estimates without demanding false precision and explain the implications to directors with different professional backgrounds.
Challenge the obligation as operating plans change
An altered schedule, reduced activity or different asset use may affect more than one estimate. The chair should ensure management identifies those connections rather than updating a single model in isolation. Specialist reports need to be translated into financial conclusions with a clear record of judgement and uncertainty.
Review the external auditor's approach to significant estimates and discuss unresolved matters directly. Challenge whether controls preserve an audit trail when assumptions change. Require management to distinguish a fresh technical assessment from an update based on judgement alone.
Lead the committee to supportable conclusions
Lead review of significant provisions, asset-related estimates and associated disclosures. Ask management to explain the source, age and limitations of supporting information. Examine whether the assumptions used in different parts of the reporting process are internally consistent.
The board should receive a coherent explanation of material obligations, sensitivities and developments that could change the conclusion. Applicants should discuss an estimate that proved inadequate and explain what the oversight process learned.
Management retains responsibility for preparing estimates and obtaining competent technical input. The chair oversees the quality of the process, the adequacy of evidence and the response to assurance findings. Formal qualifications and independence must be verified for the actual appointment, including any committee-specific requirements.
