The problem this seat exists to solve
This board seat focuses on reporting for contractual interests linked to resource production. The director must understand how the rights held, counterparty information and underlying operating assumptions affect expected receipts and carrying values.
A financial right is only as sound as its evidence
Review how the contractual basis is translated into a calculation, checked against information supplied by the counterparty and reconciled to payment. Determine how amendments and disputes enter the process. A reliable investment report requires more than accepting a statement from the party responsible for paying it.
Director and committee responsibilities
Challenge the accounting and valuation of material interests. Examine how management verifies payment calculations and identifies missing, delayed or disputed amounts. Ask whether changes in the underlying operation are reflected promptly in forecasts and reporting judgements.
Contribute to review of significant estimates, control weaknesses and external audit findings. Identify where contract interpretation, data reliability or specialist valuation work needs deeper attention. The committee should understand which conclusions are directly supported and which depend on assumptions that could change materially.
Experience interpreting rights and receipts
Candidates should bring strong financial reporting expertise, audit oversight experience and Canadian issuer-governance knowledge. Relevant backgrounds include resource finance, investment accounting and complex contractual cash flows. They need the ability to challenge valuation assumptions while recognising the limits of their own technical expertise.
Applicants should explain how they would approach a material variance between expected and received amounts. The answer should connect operational information, contract terms and financial consequences without assuming that every difference is a credit problem or an accounting error.
The appointment is a board role with audit-related contribution. It does not make the director responsible for contract administration or valuation preparation. The board should gain a clearer view of uncertainty, concentration and the quality of the evidence supporting reported investment performance, with specialist legal interpretations obtained where required.
