The problem this seat exists to solve
This chair will oversee financial reporting for mineral development where commitments, project changes and financing needs can expand faster than established controls. The central task is to ensure that the board understands the complete obligation, not only expenditure already recorded.
Reconcile the entire development commitment
Require reconciliation among the approved budget, costs incurred, contracted amounts and expected cost to complete. Ask how pending variations, claims and supporting infrastructure are treated. Where project and finance reports disagree, establish the reason and the effect on financial judgements.
A forecast that ends at construction completion may omit commissioning, ramp-up and working capital. The chair should ask whether the funding plan covers the period before operations become self-supporting. Schedule changes may affect several estimates and obligations at once; committee review should consider their combined effect rather than accept separate narrow explanations.
Candidates qualified for the mandate
Candidates need substantial financial reporting and audit-governance experience in Canada, with exposure to resource development or comparable capital projects. They must be able to evaluate technical advice and translate it into the board's reporting decisions. Experience challenging a revised project forecast is particularly relevant.
Committee authority and reporting quality
Lead review of significant estimates, accounting policies and disclosures. Coordinate discussion with the external auditor on scope, independence and unresolved matters. Ensure project developments with financial implications are escalated between scheduled meetings when necessary.
The committee should receive timely, documented conclusions with clear sensitivity to uncertain assumptions. Remediation should address information flows between projects and finance, not simply improve the presentation of the reporting pack.
Applicants should explain how they handled a material project development that emerged close to a filing deadline. The chair's contribution is disciplined judgement under time pressure, with management retaining preparation and project-execution responsibility and the auditor retaining its independent role.
