The problem this seat exists to solve
This director will contribute to collective governance with particular attention to the people and professional capacity required to execute strategy. In a knowledge-intensive business, recruitment, development, supervision and retention influence delivery quality and economic resilience. The appointment requires examining those connections at board level without assuming an executive human-resources role.
Oversight priorities
Challenge whether the strategic plan is supported by credible capability investment and leadership succession. Examine dependence on scarce specialists, the management burden placed on successful fee earners and the progression routes for future leaders. Assess how workload, reward and promotion criteria affect cooperation and professional judgement.
Seek evidence from workforce trends, engagement quality, employee concerns and exit patterns rather than relying on a single culture survey. Ask management to distinguish normal turnover from loss of critical knowledge. Review whether colleagues can raise concerns about delivery pressure or inappropriate behaviour and whether the response encourages continued trust.
Decisions within collective responsibility
Contribute to strategy, succession and remuneration discussions as allocated by the board. Test incentive proposals for unintended consequences, including excessive individualism or growth unsupported by supervision. Ensure that the cost of maintaining professional capability is understood as an operating requirement, while still challenging ineffective investment.
The director will support robust management accountability rather than become an alternative channel for ordinary employee matters. Specific employment decisions remain with authorised executives unless formally reserved to the board. Appointment and committee participation are subject to the requirements of the actual entity and assessment of independence.
**Who should apply.** Applicants should bring senior leadership or governance experience in a business where people capability materially determines delivery quality. They must demonstrate the ability to interpret workforce evidence, challenge executive assumptions and recognise when specialist advice is needed. Experience with professional career structures and the tensions between client work and leadership responsibility is particularly relevant.
The board should gain a clearer understanding of capability risk, stronger succession discussions and better alignment between strategy and workforce investment. Successful contribution helps management build an enterprise that can grow without relying on sustained overload or a few indispensable individuals, while maintaining the professional standards that make growth worthwhile.
