A chief financial officer is the one officer who can credibly move in two directions — into the chief executive seat, or into a portfolio of audit committee chairs that outlasts the executive career entirely. Both are open for roughly the same five-year window, both need work started before the window is visible, and almost nobody does that work while running a quarterly close.


Who is admitted

Sitting chief financial officers of listed, private-equity-backed and large private Indian companies; group finance heads and finance directors of substantial divisions; and finance leaders who have taken a company through a listing, a transaction or a restructuring.

We work with no more than one hundred leaders in a Circle at a time. That is a limit on our capacity, not a judgement of anybody’s standing — there is no list, no ranking and no nomination.

The audit committee chair is read differently to the CFO

The record that makes you a strong finance leader is not the record that makes a nomination committee comfortable putting you in an audit chair. Independence, tenure and the specific governance events you have sat through are what is read, and they are built into the file deliberately across the year.

Three events define a finance career in the eyes of a board, and how each is narrated matters more than that it happened. A restructuring you were hired to run reads very differently to one you presided over, and the difference is almost entirely in how the file is written.

The route to the chief executive seat, or the honest read that it is closed

Some finance leaders are two moves from a chief executive seat and some are not, and being told plainly which is true of you is worth more than a year of encouragement. Where it is open, the operating exposure a board will demand first is identified and arranged.

Questions

Is this a search retainer or board-seat advisory?

Both run in parallel for the full year, because for a chief financial officer they are the same asset managed on two horizons. Splitting them is what forces most finance leaders to start the board work five years too late.

I want a listed audit chair. Can you get me one?

No one can promise a board seat, and any firm that does is selling something else. What is done here is the portfolio design, the documents built per seat, direct representation into India ID Exchange and the mandates the firm holds, and honest counsel on which committees you are actually eligible for.

My company is unlisted. Does that weaken the file?

For an executive move, rarely. For a listed audit chair it is the specific gap that has to be closed, and closing it is a two-to-three-year sequence — usually a smaller listed board or a regulated entity first — which is precisely the sort of thing worth designing rather than stumbling into.
