The mandate through a project’s life
The company designs and manufactures process equipment used in food-production environments. The Board needs an Independent Director who can govern the entire obligation created when an engineered system is sold—from interpretation of process requirements through fabrication, site integration, performance acceptance and long-term service. Success cannot be measured only by dispatch: an apparently complete project can still carry unresolved hygiene, performance, documentation or margin exposure.
Gate one: accepting the problem
Before a bid becomes a contract, management must understand the customer’s product, process conditions, cleaning method, utilities, interfaces, throughput assumptions and acceptance criteria. The Director will challenge bid governance where requirements are incomplete, guarantees are broad or the proposed solution relies on untested assumptions. Commercial urgency should not bypass engineering review, capacity confirmation, site-risk assessment or a clear allocation of interface responsibility.
The Board should receive visibility into contractual exposure for delay, performance shortfall, contamination, consequential loss, intellectual property and changes in customer scope. Risk premiums and contingencies must be grounded in the actual project rather than applied mechanically.
Gate two: freezing a cleanable design
The appointee will seek assurance that hygienic design principles are built into equipment geometry, material choice, seals, welds, drainage, accessibility, instrumentation and cleaning validation. Design review should involve manufacturing, quality, service and commissioning, not remain isolated within engineering. Changes after design freeze need controlled technical and commercial assessment.
Where digital controls or remote connections form part of the system, the Board must understand software ownership, access privileges, patching, data use and safe fallback. A cyber event that changes a process parameter can become a product-safety event.
Gate three: fabricating what was approved
Material identity, surface condition, welding practice, outsourced treatment, calibration and inspection evidence all influence fitness for use. The Director will review how the company qualifies special processes, controls non-conformance and preserves traceability. Schedule pressure must not move unfinished or conditionally accepted work downstream without named accountability and an agreed closure path.
Management information should connect shop loading, material availability, engineering releases, rework and subcontractor performance. Reported project progress should represent earned completion, not expenditure or physical presence on the shop floor.
Gate four: integrating at site
Installation and commissioning often expose assumptions that were invisible during design. The Director will question site-readiness checks, change control, safety planning, customer dependencies and escalation routes. Acceptance tests should be objective, witnessed and tied to the contracted duty. Punch lists must distinguish cosmetic completion from issues that prevent safe or hygienic operation.
Revenue recognition, retention, warranty provision and project closure should reflect substantive acceptance and remaining obligations. The finance view and the project view must reconcile.
Gate five: learning through service
Warranty calls, spares demand, cleaning difficulties and repeat interventions contain product-development intelligence. The appointee will encourage a closed loop from service into design standards, supplier decisions and commercial qualification. Aftermarket strategy should create genuine availability and performance value, not dependency through inaccessible information or restrictive practices.
The enterprise decisions surrounding the gates
The Director will participate in capacity, technology and market choices. They will evaluate whether modularisation, standard platforms, automation or strategic sourcing can improve delivery without concealing customer-specific engineering. Working-capital oversight will cover advances, milestone billing, long-lead purchases, work in progress, claims and retentions. The Board will expect candid scenario analysis before expanding facilities or entering unfamiliar applications.
Leadership review will include engineering authority, project-management capability, quality independence, service responsiveness and succession for scarce technical roles. Safety, environmental performance and contractor governance will be treated as operating fundamentals.
Experience and temperament
The ideal candidate has senior responsibility in process equipment, food manufacturing, capital projects, industrial engineering, quality, operations, finance or project-based business. Experience governing hygienic design, complex commissioning, contract risk or lifecycle service will be useful. The Board needs a person who can explore a technical issue deeply while preserving the distinction between oversight and execution.
Candidates must be financially literate, conflict-free and actively registered in the IICA Independent Directors Databank. Any relationship with customers, engineering consultants, component suppliers, contractors or competing equipment businesses must be declared.
