The Chair must distinguish order confidence from economic completion
This business supplies engineered equipment and long-cycle solutions. Order intake, backlog and dispatch can all appear healthy while project assumptions, acceptance, cash or warranty move in a different direction. The Audit Committee Chair will require a single economic narrative from bid through engineering, procurement, production, installation or commissioning, customer acceptance, collection and aftermarket obligation.
Before an order enters the backlog
Material bids should disclose specification, performance obligations, milestone evidence, site and customer dependencies, foreign exchange, commodity exposure, localisation, guarantees, damages, warranty and cash profile. Management should identify which risks are priced, transferred, retained or merely hoped away. Exceptional terms need authority and a record of why the risk was accepted.
While the programme is executed
The Board should see movement in estimate to complete, design change, supplier performance, long-lead items, yield, rework, schedule, claims and customer acceptance. Programme status must reconcile to revenue, margin, contract assets, inventory, receivables and cash. Persistent unbilled or disputed amounts deserve evidence about enforceability and collection timing.
After delivery
Warranty, performance guarantees, field events, service obligations, spare availability and customer claims should influence provisions and product-learning. Aftermarket revenue must be governed for entitlement, delivery and margin. A project is not economically complete merely because equipment left the factory.
Audit and control programme
Internal audit will cover bid authority, contract change, procurement, vendor conflicts, inventory, project accounting, quality, capex, foreign subsidiaries where relevant, tax, related parties, cyber access and whistle-blower cases. The Chair will hold private auditor sessions and require independent validation of high-risk closure.
Capital and technology
Manufacturing capex, automation and engineering systems should retain a benefit baseline. The committee will examine useful life, impairment, data access, intellectual property, software supply chain and recovery. Digital tools that optimise equipment or service create continuing data, cyber and customer obligations that must be understood before revenue is celebrated.
NRC connection
As an NRC member, the director will review succession for the CEO and leaders of projects, engineering, manufacturing, service, finance and quality. Incentives should recognise cash, safe delivery, quality and warranty outcome—not only orders and dispatch.
Appointment standard
Applicants should be experienced industrial CFOs, CEOs, project-business heads, audit partners, engineering/manufacturing leaders or risk executives. Direct exposure to long-cycle contracts, export, commissioning or aftermarket economics is valuable. Prior Audit Committee leadership is preferred. Candidates must satisfy independence, DIN and databank requirements and be available for plant/project visits, result cycles and material customer or quality events.
