Strategic charter — first 18–24 months
- Define a Board-level portfolio doctrine distinguishing legal compliance, product responsibility, harm-reduction evidence, consumer choice, shareholder return and societal licence to operate.
- Require independent scientific, toxicological and behavioural evidence before reduced-risk, smoke-free, wellness or sustainability claims are made; separate product-development hypotheses from public claims.
- Govern youth-access prevention, age assurance, packaging, point-of-sale conduct, influencer and digital marketing, channel incentives and third-party distributor compliance.
- Examine pricing and volume decisions through excise, affordability, illicit trade, consumer migration and enforcement scenarios rather than margin alone.
- Establish critical controls for manufacturing quality, ingredient change, traceability, counterfeit detection, recall readiness and supplier integrity across regulated and consumer products.
- Protect the agricultural supply base through transparent leaf procurement, crop diversification, labour and human-rights controls, climate resilience, water stewardship and farmer economics.
- Re-underwrite each consumer adjacency using category right-to-win, brand investment, gross-margin quality, route-to-market advantage, working capital and stand-alone return on incremental capital.
- Set explicit continue, partner, restructure or exit thresholds for subscale businesses; prevent core cash flows from masking persistent economic loss.

Essential: Former CEO, enterprise strategy/capital-allocation leader, regulator, product-safety scientist with board fluency, or senior executive from a highly regulated consumer category; evidence of closing, reshaping or refusing a value-destructive business; ability to judge scientific claims without becoming an advocate for management or an activist against a lawful business; experience balancing tax, distribution, reputation and consumer protection.
Differentiators: public-health or behavioural-science literacy; agricultural supply-chain governance; multi-category consumer P&L; litigation and regulatory-scenario experience; prior committee leadership through a contested portfolio transition.
Independence, eligibility and conflict hard gates
Active IICA Databank inclusion and verified proficiency-test/exemption status are mandatory. All statutory independence, disqualification, tenure, directorship and committee-capacity checks apply. Candidates must disclose interests involving competitors, public-health advocacy, government advisory work, scientific research funding, distributors, agricultural counterparties, litigation funders, consumer brands and professional firms serving the group. GILA will assess both actual conflict and reasonable perception.
Candidate-side diligence before consent
Candidates will review litigation and regulatory matrices, tax sensitivities, product-claim substantiation, quality incidents, youth-access controls, category profitability after fully allocated capital, related-party arrangements, whistle-blower themes, agricultural-chain assurance and D&O protection. Consent should follow a direct discussion with the General Counsel, Chief Scientific/Quality Officer, internal audit and the senior independent director.
