Oversight of the operating model
Challenge the separation of commercial, custody and verification responsibilities. Examine how stock records are reconciled to physical evidence, how exceptions are investigated and how independent checks are commissioned. Review reliance on subcontractors and the practical ability to supervise dispersed operations.
Release and access risk
Require clear reporting on who can authorise movements, amend records or override controls. Ask how duplicate documents, disputed ownership and unauthorised access would be detected. The board should understand the limitations of inspection and monitoring rather than treating a control report as a guarantee.
Business resilience
Review liability exposure, insurance assumptions, operational continuity and the resources needed to maintain reliable control. Seek specialist advice on legal rights and obligations where necessary.
The director should ask how independent stock verification is separated from the teams whose performance depends on throughput or customer retention. Review whether staff can prevent release when instructions conflict and whether attempted overrides are reported. A discrepancy process should preserve evidence, reconcile records and identify the authority for further action. Board oversight must also consider incentives: commercial pressure to retain a client should not quietly change the control standard represented to financiers or other users of the service.
Candidate qualifications
Candidates should have senior experience in warehousing, collateral management, commodity finance or operational risk. They need practical knowledge of how goods are received, stored, verified and released. Evidence of responding to a stock discrepancy or control failure is especially relevant.
Contribution expected
The director should strengthen challenge of the service’s control proposition and ensure adverse findings reach the board. This is an oversight role, not personal certification of inventory or a guarantee of collateral value.
