The problem this seat exists to solve
This director will challenge credit risk in agricultural commodity trading, where counterparty quality, price movements, logistics and the control of goods interact. The seat requires judgement about the transaction as a whole, not reliance on a counterparty rating in isolation.
Independent director responsibilities
Review risk appetite, limits and the treatment of exceptions. Examine how management aggregates exposures across counterparties, connected groups and transaction stages. Challenge assumptions about collateral value and access when market conditions, documentation or logistics deteriorate together.
Questions for a stressed trading position
Who owns the goods, who controls release and what evidence supports that view? How quickly can the exposure increase through price or currency movements? What happens if a buyer defaults while inventory is in transit? The director should ensure management can answer with current information and appropriate specialist support.
Board reporting should show exposure as it changes through purchase commitment, shipment, storage, sale and settlement. The director should ask whether limits capture obligations that have not yet become receivables and whether several trades depend on the same underlying buyer or stock. In a downside review, challenge the assumption that collateral remains accessible and saleable when the counterparty is distressed. Oversight should connect credit decisions with treasury and logistics information, reducing the chance that each function sees only a manageable fragment of a larger exposure.
Qualified candidates
Candidates should have substantial commodity credit, trade finance or risk-governance experience. They need an understanding of agricultural supply chains, transaction structures and the limits of collateral protection. Board experience is useful, but the core requirement is evidence of independent judgement over complex exposure.
Contribution to governance
The board should gain a clearer view of concentration, tail risks and decisions requiring escalation. The director does not approve routine trades unless separately authorised within the governance framework. Candidates should discuss a situation where apparently strong collateral failed to provide the expected protection, and explain the oversight lessons they carried forward.
