Board succession and governance organisation in Sweden

The problem this seat exists to solve

The adviser will assess whether a board's committees have the leadership, expertise and capacity to discharge their responsibilities as membership changes. The assignment recognises that a board can appear well balanced overall while depending heavily on a small number of directors for its most demanding committee work.

Committee continuity deserves its own analysis

Map committee responsibilities, meeting cycles, information demands and expected changes in membership. Review how work is allocated and how committee conclusions reach the full board. Identify concentrations of expertise or workload that could make succession difficult or reduce the quality of challenge.

Go beyond replacing one chair with another

Examine whether committee mandates remain appropriate and whether overlap creates duplication or gaps. Consider the readiness of potential successors, the induction they would need and the consequences of moving a director between committees. Distinguish an immediate continuity risk from a longer-term development need.

The adviser should help the board evaluate options without presuming that more committees or more directors are always the answer. Better information, clearer remits or different sequencing may improve effectiveness. Recommendations must account for directors' actual availability and the intensity of work outside scheduled meetings.

Required experience

Candidates should have substantial governance advisory, board evaluation or committee leadership experience. They need practical understanding of how boards use specialist expertise and how committee responsibility differs from executive ownership. Experience with director succession and induction is particularly useful.

Applicants must be able to work with sensitive assessments of contribution and capability. Clear analysis, discretion and the ability to challenge established arrangements without overstating deficiencies are essential. Evidence should include an example of improving committee effectiveness or reducing a succession dependency.

The engagement's outcome

Deliver a committee capability and continuity assessment, a set of succession options and a practical transition sequence. Make assumptions and unresolved questions explicit. Appointment and committee allocation decisions remain with the authorised body; the adviser holds no director office through this mandate. Success is a board that understands where committee continuity is vulnerable and can address it before a departure creates an urgent gap. The final recommendations should strengthen collective oversight rather than encourage the full board to rely even more heavily on a few specialists.

Before you apply — an advisory engagement

No office of director, and no appointment formalities.

An advisory engagement creates no directorship in Sweden. There is no registry filing, no regulator pre-approval, no residency arithmetic and no statutory director liability — which is why it is so often the right first step into a market you do not yet know.

On this brief
Independence
Where the engagement specifies independence from any search that follows, that is a requirement of the engagement rather than a courtesy — an adviser to a board is not a candidate for it.
