An established service enterprise is increasing digital investment faster than its board can assess delivery and resilience risk. This director will help the board distinguish valuable transformation from poorly controlled technology spending and challenge whether management can sustain essential services during disruption.
The decisions this board must get right
- Challenge major technology business cases, testing benefits, implementation capacity, dependencies and alternatives before investment approval.
- Scrutinise concentration in critical suppliers and cloud platforms, including exit feasibility and recovery assumptions.
Your contribution in the boardroom
You will review cyber and resilience reporting for decision usefulness, ensuring exposure, ownership and overdue remediation are visible. You will test management succession, technology operating model and the quality of independent assurance over major programmes.
You will bring customer and service continuity consequences into board discussion, avoiding oversight based solely on technical activity metrics.
This is a nonexecutive appointment. The director contributes through the chair to collective board decisions and oversight; management retains responsibility for execution.
Evidence of an effective first year
**First board cycle.** Identify material gaps in technology reporting and agree a small set of decision-oriented measures.
**Within six months.** Establish an annual technology assurance agenda and review at least one critical-service recovery exercise.
**Within twelve months.** Assess investment benefits, unresolved control weaknesses and management responses through the normal board evaluation cycle.
Experience and commitment
The role requires executive technology leadership, financial literacy and the ability to challenge constructively without taking over management; evidence of explaining material technology risks to a board.
Additional useful experience includes prior committee service, independent assurance exposure or governance experience in regulated or public interest settings.
An initial three-year appointment is envisaged, with approximately eighteen to twenty-four days annually for meetings, preparation and committee work. Start date, remuneration, travel and on-site attendance will be agreed for the appointment.

- Tenure limit once appointed
- No fixed cap. Because directors are elected annually and the nomination committee is reconstituted from the current largest shareholders each year, refresh is driven by ownership change rather than by a tenure clock.
