Software engineering organisation in Sweden
The problem this seat exists to solve
The board seeks an independent director with engineering leadership experience to scrutinise technology acquisitions and the integration commitments they create. The role addresses a recurring gap between transaction logic and the practical work of combining products, platforms and teams. The director should help the board understand which integration assumptions are critical to the investment case and which remain untested.
Examine what must work after the transaction
Before approval, challenge assessments of technical debt, intellectual-property dependencies, release practices and key-person concentration. Require clarity on whether the target's technology can support the proposed growth and how much investment is needed to reach that condition. The director should question unsupported claims of rapid platform consolidation or immediate engineering synergies.
Integration decisions that warrant board attention
Review management's sequencing of customer commitments, infrastructure changes and team integration. Ask what would happen if migration takes longer, essential staff leave or an inherited contract limits the preferred architecture. Ensure there are decision points where the board can reconsider timing or expenditure before disruption becomes unavoidable.
After completion, monitor evidence of integration progress rather than activity counts alone. Useful measures should connect service continuity, product delivery, retained capability and cost. The director must be prepared to challenge both excessive caution that preserves unnecessary duplication and forced consolidation that destroys valuable knowledge or customer functionality.
Candidate evidence and the director boundary
Candidates should bring senior engineering leadership and direct experience of technical due diligence, post-acquisition integration or both. They need to communicate uncertainty clearly and distinguish an engineering concern from a reason to stop a transaction. Exposure to multiple software business models is valuable when it informs proportionate judgement rather than a universal preference for one architecture.
This is a board seat, with collective responsibility and any committee involvement agreed at appointment. Executives remain accountable for technical assessments, transaction execution and integration delivery. The director will not act as an unpaid integration manager. Strong contribution means more realistic investment assumptions, explicit conditions around integration risk and timely board intervention when the economics or technical path change. All relationships with targets, investors and technology vendors must be disclosed.

- Board appointment
- Compensation
- SEK 550,000–900,000 per year (indicative annual board fee)

Before you apply — Sweden
No nationality test applies to you. The board as a whole must keep half its members EEA-resident unless Bolagsverket has granted an exemption — a company-level test that a listed issuer normally satisfies well before it reaches an outside candidate.
- Residency test
- At least half the board resident within the EEA, subject to exemption by Bolagsverket. Non-EEA residents are common on Swedish boards where that half is satisfied.
- Nationality test
- None.
- Work authorisation
- A non-executive director attending board meetings requires no work permit. Executive roles for non-EU/EEA nationals require a work permit through Migrationsverket.
- Tenure limit once appointed
- No fixed cap. Because directors are elected annually and the nomination committee is reconstituted from the current largest shareholders each year, refresh is driven by ownership change rather than by a tenure clock.
