Restructuring and turnaround organisation in Sweden

The problem this seat exists to solve

The board needs independent challenge during the period when a business moves from financial stabilisation toward reinvestment. This director will examine whether apparent progress represents sustainable operating improvement or the temporary effect of creditor support, deferred expenditure and exceptional trading.

Independence and recovery judgement

Candidates should combine board-level judgement with substantial exposure to industrial turnaround, finance or operating recovery. They need to interpret cash quality and challenge a persuasive recovery narrative. Relevant relationships with owners, creditors or advisers must be disclosed for independence and conflict assessment.

Applicants should discuss a situation where improved financial results did not justify the next proposed commitment. Explain what evidence changed the decision and how challenge was maintained without taking over management's work.

The contribution expected is a more reliable board judgement about recovery durability, management capability and capital allocation. The director provides oversight through the governing body; executives remain accountable for operating decisions and delivery. Effective service should make emerging problems easier to disclose, not encourage management to protect an optimistic narrative from challenge.

Independent director responsibility

Review the recovery baseline, management's delivery and the assumptions behind capital requests. Ask whether cash improvements will persist and whether essential capability has been weakened to achieve them. Challenge changes in targets that make progress appear stronger without explaining the underlying variance.

The director should help the board decide which crisis controls can be relaxed, what assurance is needed first and what normal governance will replace them. Restrictions should neither disappear automatically after one favourable period nor remain indefinitely without a clear purpose.

Reinvestment requires a separate judgement

For a proposed investment, examine the prospective return and the resources needed to execute it. A business may be viable but not yet capable of delivering a major expansion. Compare reinvestment with maintenance, liquidity resilience and other uses of capital. Preserve visibility of obligations deferred during the restructuring.

Appointment
Board appointment
Compensation
SEK 550,000–900,000 per year (indicative annual board fee)
Time commitment in this market
Typically 8–11 board meetings a year plus committees and a strategy session; Swedish boards meet more often than the European average and read more.

Before you apply — Sweden

No nationality test applies to you. The board as a whole must keep half its members EEA-resident unless Bolagsverket has granted an exemption — a company-level test that a listed issuer normally satisfies well before it reaches an outside candidate.

Residency test
At least half the board resident within the EEA, subject to exemption by Bolagsverket. Non-EEA residents are common on Swedish boards where that half is satisfied.
Nationality test
None.
Work authorisation
A non-executive director attending board meetings requires no work permit. Executive roles for non-EU/EEA nationals require a work permit through Migrationsverket.
Tenure limit once appointed
No fixed cap. Because directors are elected annually and the nomination committee is reconstituted from the current largest shareholders each year, refresh is driven by ownership change rather than by a tenure clock.
