Independent scrutiny

Examine concentration across investments that appear different but depend on the same demand assumptions.
Require each investment case to identify the external milestones on which it depends and the evidence that those milestones are achievable. The director should distinguish a contractual commitment from an expectation based on a wider development narrative. Review whether several holdings depend on the same visitor segment, opening timetable or infrastructure provider. When dependencies change, ask whether the appropriate response is additional investment, a revised phase or a reduced commitment rather than automatically protecting the original growth plan.
Holding-company governance
Challenge intercompany funding, guarantees, liquidity planning and distributions. Seek a transparent account of related-party interests and the basis for selecting investment partners. Ensure the board considers the holding company’s obligations separately from the ambitions of a broader development ecosystem.

Candidates should have governance or investment experience in property, infrastructure, hospitality or diversified holding structures. They need strong financial judgement and the confidence to question an appealing strategic narrative. Independence and conflicts must be assessed against actual relationships, with appropriate professional review of appointment eligibility.

A useful director helps the board stage commitments, identify concentration and preserve options when external dependencies change. Candidates should provide an anonymised example of an investment decision altered by recognising a dependency outside the investor’s control.
