Audit and financial reporting organisation in Netherlands
The problem this seat exists to solve
The director will support board oversight of consistency between financial reporting, operational measures and material non-financial disclosures. The appointment requires testing whether different reports describe the same underlying business coherently and whether management can support important claims with reliable evidence. It is a board role, not an assignment to prepare sustainability or financial reports.
Examine the reporting chain
Review ownership of material metrics, definitions, boundaries and source data. Ask where information is estimated, where local practices vary and how changes in methodology are communicated. Compare non-financial commitments with capital plans, operating assumptions and financial statements where the relationship is material.
Challenge claims that are technically accurate in isolation but misleading when their scope or limitations are unclear. Seek explanations of inconsistency rather than assuming it is merely a presentation issue. The board should understand the difference between an ambition, an approved plan and an achieved result.
Assurance proportionate to consequence
Assess management's control framework and the basis for any independent assurance. Determine whether the work addresses the most consequential information and whether unresolved limitations are visible. Applicable reporting obligations and standards must be established by qualified specialists for the actual entity and reporting period.
The director will contribute to disclosure governance and reserved reporting decisions, without owning data collection or directing assurance procedures. Management remains accountable for accuracy and completeness. Appointment, independence and committee responsibilities will be assessed against the entity's governance requirements.
Candidate evidence
Candidates should bring senior finance or governance experience with exposure to both financial controls and broader enterprise reporting. They must be able to interrogate data lineage and explain uncertainty clearly. An application should describe a reporting inconsistency that changed leadership's understanding of the business or required a material revision to a public claim.
What the appointment should strengthen
The board should gain a coherent view of the evidence supporting its disclosures and the limitations that must accompany them. Success means fewer contradictions, clearer accountability and a reporting process that can withstand scrutiny beyond the immediate reporting cycle. The director must help ensure that the enterprise's narrative is supported by the same disciplined judgement expected of its financial statements, without reducing complex outcomes to unsupported numerical certainty.
