The problem this seat exists to solve
The director will contribute independent scrutiny to digital investment decisions, ensuring that commercial value, operating risk and organisational capacity are considered together. This board seat requires the ability to challenge both optimistic transformation narratives and underinvestment that quietly increases fragility. It carries collective responsibility for the enterprise beyond the technology portfolio.
Experience expected
Candidates should have senior operating or governance experience with material technology investment and measurable business consequences. They must be able to interpret financial cases, delivery assumptions and risk exposure without relying exclusively on technical or financial specialists. Applications should explain a decision to stop, reshape or continue an investment when the original evidence changed.
Compare the choices management is actually making
Review the balance among growth, maintenance, resilience and mandatory change. Ask whether the portfolio assumes the same scarce teams can deliver several initiatives simultaneously. Examine dependencies on data quality, process redesign and workforce adoption that may sit outside the stated project budget.
Challenge benefits that are double counted or cannot be realised through the operating plan. Seek a clear distinction between cash savings, capacity improvement and risk reduction. Where uncertainty is high, consider whether staged commitment creates useful learning or merely delays an unavoidable decision.
Follow value after approval
Support board oversight that compares outcomes with the original rationale and identifies why results differ. Management should be able to explain whether variance arises from delivery, adoption, external change or a weak initial thesis. Repeated rebaselining requires examination without making managers reluctant to report new evidence.
The director will not manage programmes or approve routine technology changes. They will contribute to reserved investment decisions and agreed committee work, with appointment eligibility and conflicts assessed for the actual entity. Independent advice may be required for specialist matters beyond the board's collective expertise.
A better board conversation
The appointment should help the board ask what the enterprise must learn, what it can afford to commit and what it should stop doing. Successful contribution is visible in clearer priorities, proportionate funding and earlier recognition of investments that no longer justify their opportunity cost. The result should be a technology portfolio that management can deliver and whose value the governing body can explain.
