Infrastructure finance organisation in Netherlands
The problem this seat exists to solve
This board seat combines infrastructure finance expertise with independent scrutiny of arrangements involving shareholders, affiliated businesses and operating partners. Logistics assets often depend on interconnected commercial relationships. The director must help the board distinguish an economically justified arrangement from one whose risks or benefits have been allocated unfairly.
Independent judgement where interests intersect
Candidates should have senior experience in infrastructure corporate finance, asset investment or lending, with practical exposure to complex ownership structures. Prior work on boards or investment committees should demonstrate independence rather than merely familiarity with approval processes. The successful applicant must be able to question influential stakeholders respectfully and persist when the available evidence is inadequate.
Strong understanding of financial statements, cash forecasting and debt structures is required. Experience in logistics is valuable where it informs asset economics and contractual dependency, not simply sector vocabulary.
Read related arrangements together
Review material loans, guarantees, leases, service arrangements and capital contributions with attention to their combined effect. A transaction may appear reasonable on its own while creating an excessive dependency when viewed alongside other commitments. The board should understand the practical alternatives and the consequences of declining or changing a proposed arrangement.
Challenge the evidence supporting terms, valuations and risk allocation. Ask whether information supplied to the board is sufficiently complete and whether conflicted parties have influenced the process. Support clear handling of declarations, recusals and independent advice where appropriate to the appointment's governance framework.
Apply the same discipline to borrowing
Bring the same discipline to external debt. Assess security, covenant limitations and refinancing assumptions against the operating model. Consider whether financing choices compromise the ability to maintain assets, serve customers or respond to changes in demand. Require transparent reporting of contingent liabilities and obligations that sit outside headline borrowings.
The director's decision trail
The director will participate in collective board decisions and follow material conditions and unresolved concerns through to closure. Appointment-specific independence, eligibility and conflicts will be reviewed. Success is a defensible decision trail, better visibility of financing exposure and fair consideration of alternatives. The director will not negotiate private side agreements, represent a particular investor's interests or exercise executive authority over finance staff.
