The problem this seat exists to solve
The director will oversee funding choices in cross-border investments where cash, obligations and decision authority sit in different entities. The role requires clear financial judgement and the ability to recognise when consolidated analysis is insufficient.
Trace funding through and beyond the transaction
Examine conditions, timing and the sequence of approvals. A financing plan may appear balanced while depending on receipts that are uncertain or unavailable to the entity that must pay. Challenge reliance on informal group support and distinguish committed resources from anticipated cooperation.
Review residual liabilities, continuing guarantees and the funding needed for the next operating period. The director should ask whether a proposed disposal or restructuring leaves the remaining investments with a coherent capital plan. Transaction proceeds alone do not establish an improved risk position.
Where receipts and payments use different currencies, require the timing assumptions and exposure management to be explained together. A nominal funding surplus may disappear before cash reaches the entity that needs it.
Independent director responsibilities and contribution
Review acquisitions, intercompany funding, guarantees and distributions. Ask where cash is available, what restrictions apply and which entity bears each obligation. Require specialist advice on material legal or tax assumptions and ensure the board understands the practical implications.
Decisions should become easier to trace from commercial purpose to cash effect and continuing obligation. Applicants should discuss an investment proposal altered because the proposed funding path did not work as assumed.
The seat carries board responsibility and requires appropriate conflict disclosure. It does not imply authority to move funds or negotiate on behalf of every entity in a group. Management and advisers execute within their mandates; the director ensures that approvals at the relevant board are informed and supportable.
Qualified candidates
Candidates should have substantial cross-border investment, corporate finance or holding-company governance experience. They need the ability to interrogate structures without relying entirely on advisers and the judgement to recognise where specialist interpretation is essential. Evidence of preventing or resolving an entity-level funding mismatch is particularly relevant.
