Actively sourcing
A demand profile the Exchange is actively sourcing against. The sponsor is not confirmed on this board, and we say so rather than implying a signed mandate. Registering interest puts you in front of the sponsor when the brief converts.
The problem this seat exists to solve
A supervisory board member reaches the twelve-year ceiling under the Dutch Corporate Governance Code, and the board's gender composition means the replacement must maintain the statutory one-third balance — an appointment that fails it is void.
The remit
- Provide supervisory oversight of technology resilience, cyber risk and operational continuity
- Serve on the risk committee of a regulated payments business
- Contribute to the supervisory board's assessment of the management board
- Support the board's DORA and operational-resilience obligations
What the sponsor will not compromise on
- Senior technology or information-security leadership at a regulated financial institution
- Experience of a two-tier or one-tier European board
- Independence under best practice 2.1.8 of the Dutch Code
- English is the working language of the board
Terms
- Engagement
- Four-year term, renewable within the twelve-year maximum.
- Compensation
- EUR 70,000 – 95,000 a year including committee fee.
- Cross-border
- No residency or nationality test applies. The board's gender arithmetic under the ingroeiquotum governs who can lawfully be appointed next.
- Time commitment in this market
- Typically 6–8 supervisory board meetings a year plus committees; boards within the structure regime carry additional works-council engagement.
Before you apply — Netherlands
No nationality or residency test applies to a supervisory or non-executive director. In practice this is the most accessible continental board market for an English-speaking candidate.
- Residency test
- None.
- Nationality test
- None.
- Work authorisation
- A non-executive or supervisory director attending meetings does not require a residence permit. Executive roles for non-EU nationals require a permit, commonly under the highly skilled migrant scheme.
- Tenure limit once appointed
- Twelve years, as 4+4+4, with reasons required for reappointment beyond eight.
