What the director must challenge

Review how valuation uncertainty is communicated when it could affect an investor’s decision or a financing calculation. Ask whether assumptions are consistent across assets and whether exceptions receive independent challenge. If the fund must realise investments, examine the difference between an orderly valuation and achievable proceeds under the required timetable. The director should also scrutinise whether fees, expenses and related-party arrangements are allocated consistently with the governing terms, with clear evidence supporting material judgements and appropriate professional interpretation where needed.

Relationships under scrutiny

The director will evaluate reporting from the manager, administrator and other providers, ensuring exceptions have accountable owners. Related-party transactions, allocation decisions and fee calculations require careful conflict management. Provider appointment does not remove the need for the board to understand material weaknesses.

Candidates should have private-fund governance or senior investment experience and sufficient real-estate knowledge to challenge asset assumptions. They must understand their role within the specific fund structure and be willing to verify applicable registration, eligibility and continuing obligations with local specialists. Independence should be considered in substance as well as form.

A practical selection discussion

Candidates should explain how they would respond to a disputed valuation near a material investor decision, or to a proposed exit that improves reported returns while transferring disproportionate risk. The board needs evidence of calm, documented judgement and the capacity to demand better information before acting.
