Board succession and governance organisation in Italy
The problem this seat exists to solve
The adviser will assess the depth and readiness of internal leadership successors for roles that matter to organisational continuity. The assignment requires careful judgement about evidence, context and development potential. It must not turn a succession discussion into an implied appointment commitment or a popularity exercise.
Determine readiness without promising promotion
Agree the roles in scope and clarify their future demands. Review relevant performance evidence, responsibilities already carried and exposure to decisions at the next level. Use structured interviews and other agreed assessment methods to understand judgement, learning and the ability to work across organisational boundaries.
Readiness is specific to a role and a context
Distinguish demonstrated capability from potential that still requires testing. Identify gaps that could be addressed through experience, support or development, and those that make a proposed succession route unrealistic. Examine whether the organisation is relying on the same person for multiple roles or assuming that strong current performance automatically predicts success in a different mandate.
The adviser should challenge structural obstacles as well as individual gaps. A future leader may be unable to demonstrate readiness because authority, access or development opportunities have been withheld. Recommendations should make those constraints visible without lowering the standard required for appointment.
Candidate expertise
Applicants need substantial executive assessment, leadership development or succession advisory experience. They should understand how organisational context affects performance and be able to discuss evidence with both boards and executives. Experience in senior search is relevant when supported by rigorous assessment practice rather than reliance on career credentials.
Discretion, clear writing and the ability to deliver difficult conclusions constructively are essential. Candidates must demonstrate how they avoid overstating certainty and protect sensitive personal information.
Outputs that decision-makers can use
Provide a role-specific readiness view, succession risks and practical development or contingency options. State the evidence and limitations behind conclusions. The authorised leaders retain appointment and employment decisions; the adviser has no authority to promise roles or communicate outcomes beyond the agreed process. Success is a more realistic understanding of leadership continuity, including where internal succession is credible, where additional evidence is needed and where an external search may be necessary. The value lies in better decisions, not in labelling people permanently.

Before you apply — an advisory engagement
No office of director, and no appointment formalities.
An advisory engagement creates no directorship in Italy. There is no registry filing, no regulator pre-approval, no residency arithmetic and no statutory director liability — which is why it is so often the right first step into a market you do not yet know.
- On this brief
- Independence
- Where the engagement specifies independence from any search that follows, that is a requirement of the engagement rather than a courtesy — an adviser to a board is not a candidate for it.
