Retail and franchise networks organisation in Italy

The problem this seat exists to solve

The director will help the board understand the economics of an integrated retail network, including stores, digital channels and fulfilment activities. Strategic decisions should reflect how customers use the whole proposition and where costs are actually incurred, rather than reward each channel for reporting growth in isolation.

A sale can move channels without creating new value

Candidate judgement required

Applicants should have senior retail, distribution or consumer operations leadership with responsibility for channel integration and financial outcomes. They need to understand store economics, fulfilment costs and the practical consequences of shared inventory and customer journeys. Evidence of correcting misleading channel measures is valuable.

The role requires independent board contribution, not executive ownership of digital or store operations. Candidates must demonstrate financial literacy and an ability to challenge attractive growth claims with balanced evidence.

Questions behind the investment case

Examine whether new channel activity is incremental, substitutes for existing sales or changes the cost to serve. Challenge how returns, collection, support and store-assisted transactions are attributed. Ask whether incentives encourage teams to transfer cost or customer problems across organisational boundaries.

Review investments in fulfilment, technology and physical locations against a coherent enterprise model. Consider customer convenience, service reliability and capital requirements together. Require clarity on the assumptions that justify expansion and the conditions under which investment should be reconsidered.

Oversight of outcomes

The director will help ensure that reporting shows enterprise value rather than competing channel narratives. Follow material service and cost issues, particularly where no single executive owns the complete customer journey. Challenge improvements that rely on permanent manual intervention or unrecognised store workload.

Appointment-specific eligibility, independence and conflicts will be assessed. The director participates in collective decisions and has no individual authority to direct pricing, stock or fulfilment. Success is a board able to judge omnichannel choices with a realistic account of customer behaviour and operating cost. The contribution should support better capital decisions and accountability, avoiding both the assumption that digital growth is automatically profitable and the assumption that physical locations should be evaluated only through transactions completed inside them.

Before you apply — Italy

No nationality or residency test applies to an Italian director. The route in that matters is procedural rather than legal: a place on a slate.

Residency test
None.
Nationality test
None.
Work authorisation
A non-executive director attending board meetings does not require a permit. Executive roles for non-EU nationals do, and are subject to the immigration decree quotas.
Tenure limit once appointed
No hard statutory cap. The 2020 Corporate Governance Code treats service exceeding nine years in the previous twelve as a circumstance that compromises independence, requiring the board to assess and disclose.
