The problem this seat exists to solve

Candidates should have senior utility, infrastructure, operational risk or board experience with responsibility for continuity or major incidents. They need sound judgement under uncertainty and the ability to interpret specialist advice. A record of improving preparedness after real events or demanding exercises is particularly useful.

Oversee preparedness that can be demonstrated

The director will contribute to board oversight of continuity and emergency readiness in utility services. The remit is to test whether the organisation understands critical dependencies and has practical arrangements for disruption. It requires a governance view of readiness, with operational command and technical response remaining with authorised management and specialists.

Ask what has been tested

Review continuity objectives, scenarios and the evidence that supports them. Examine dependencies on power, communications, contractors, supplies and key people. A plan may appear complete while relying on resources that would be unavailable during the same event it is intended to address.

Scrutinise exercises and lessons. Ask whether tests challenged actual operating arrangements or only confirmed that participants knew the written procedure. Management should explain what failed, what was changed and how the effectiveness of the change will be demonstrated.

Investment and residual exposure

Review proposals for redundancy, stock, alternative suppliers or recovery capability against the consequences of disruption. Require clarity on the protection provided and its limits. The director should challenge both unsupported reassurance and expensive measures that add complexity without materially improving service recovery.

Preparedness oversight and residual gaps

During disruption, this board member should examine whether executive decisions remain consistent with the agreed continuity priorities and identify matters requiring collective board action. The office carries no incident-command authority or statutory inspection function; management directs restoration and coordinates the operational response.

The contribution should result in more realistic continuity objectives, transparent residual gaps and timely investment choices. Candidates must disclose supplier and advisory relationships relevant to preparedness. The board will expect the director to recognise that no plan removes every uncertainty, while insisting that assumptions are explicit and that essential arrangements are maintained, exercised and updated as the service and its dependencies change.

Before you apply — Italy

No nationality or residency test applies to an Italian director. The route in that matters is procedural rather than legal: a place on a slate.

Residency test
None.
Nationality test
None.
Work authorisation
A non-executive director attending board meetings does not require a permit. Executive roles for non-EU nationals do, and are subject to the immigration decree quotas.
Tenure limit once appointed
No hard statutory cap. The 2020 Corporate Governance Code treats service exceeding nine years in the previous twelve as a circumstance that compromises independence, requiring the board to assess and disclose.
