The problem this seat exists to solve
Candidates need senior infrastructure, utility, commercial or board experience with partnerships or joint delivery arrangements. They should demonstrate the ability to evaluate incentives and follow agreements into operation. Experience resolving an underperforming arrangement is valuable when it shows disciplined choices and attention to service continuity.
Examine the obligations created by partnership
The director will strengthen board oversight of partnerships and shared delivery arrangements in environmental infrastructure. The remit concerns the economics, governance and operating dependencies of working with other organisations. The board needs to understand what the arrangement enables and what responsibilities remain even when another party performs part of the work.
Before agreement
Challenge the strategic rationale, allocation of risk and evidence behind expected efficiencies or investment benefits. Ask who contributes assets, funding, capability and ongoing support. Where the parties have different objectives, require a clear account of how decisions and disagreements will be handled.
Review information rights, performance measures and exit or transition options with appropriate specialist advice. The director should not accept a commercial summary as a substitute for understanding material contractual consequences. Equally, technical legal detail must be translated into the operating choices the board is being asked to make.
Govern the arrangement after signing
Examine performance against the original rationale and the quality of information available to management. A partnership should not become an area where each party assumes the other is managing a material exposure. Require clear ownership of obligations and escalation when the arrangement changes or fails to deliver expected value.
This is an independent director seat with collective board responsibility. It is not an advisory mandate, a deal-broker role or a separate statutory oversight appointment. Management retains negotiation and operational coordination within approved authority.
Expected contribution includes better-defined partnership decisions, transparent allocation of responsibility and realistic continuity planning. Candidates must disclose interests in partners, contractors, advisers and investors. They should be prepared to challenge an attractive relationship where governance rights or operating capability are inadequate, and to support a well-structured arrangement even when it requires the board to accept clearly understood compromises in control or flexibility.
