The problem this seat exists to solve

The director will bring independent oversight to digital investment and data governance in utility services. The remit concerns the reliability of information used for asset, customer and financial decisions, together with the resilience of supporting systems. It is not an operational CIO appointment and does not require the director to select tools or manage implementation.

Technology expertise at board level

Candidates should have senior technology, data, utility or board experience with practical exposure to complex service environments. They need the ability to translate technical matters into governance decisions and to recognise the limits of their expertise. Experience assessing technology investments and their realised benefits is particularly relevant.

Review the case for change

Challenge proposals for new systems or data platforms against the service problem they are intended to solve. Ask whether responsibilities and definitions are clear before technology is introduced. A system can reproduce poor information more quickly if the organisation has not resolved who owns it and how accuracy is maintained.

Dependencies and readiness

Examine dependencies between operational and business systems. Review management's account of cyber and continuity exposure with appropriate specialists, focusing on consequences for service and recovery. The board should understand limitations and choices without relying on unexplained technical scores.

Scrutinise migration, data quality, adoption and support readiness for significant changes. Require clear acceptance evidence and ownership of residual work. Benefits should be reviewed after implementation, including whether staff can use the information to make better decisions and whether old manual processes have genuinely been retired.

Director contribution to data accountability

The appointment is to the board, with collective responsibilities and any agreed committee work. It is separate from statutory assurance or compliance offices. Executives retain implementation, security operations and system ownership.

Success means better-supported digital investment, clearer data accountability and a board able to assess service consequences when technology changes. Candidates must disclose vendor and advisory relationships. They should demonstrate a balanced approach that neither treats digital investment as inherently beneficial nor allows uncertainty to become a reason for indefinitely retaining systems that can no longer support reliable operations.

No nationality or residency test applies to an Italian director. The route in that matters is procedural rather than legal: a place on a slate.

None.
Nationality test
None.
Work authorisation
A non-executive director attending board meetings does not require a permit. Executive roles for non-EU nationals do, and are subject to the immigration decree quotas.
Tenure limit once appointed
No hard statutory cap. The 2020 Corporate Governance Code treats service exceeding nine years in the previous twelve as a circumstance that compromises independence, requiring the board to assess and disclose.
