Water and environmental services organisation in Italy

The problem this seat exists to solve

The director will strengthen governance of procurement and major contracts in utility or environmental services. The remit is to assess whether significant commitments support service needs, manage dependencies and provide a clear basis for accountability. It does not involve conducting procurement procedures or replacing the advice of authorised legal and procurement specialists.

Before the commitment

Challenge the definition of need, the options considered and the assumptions behind whole-life cost. A low initial price may create support, change or exit costs that are not visible in the approval paper. Require management to explain how the organisation will evaluate performance and what capability it retains to manage the supplier.

Review dependencies on contractors, specialist equipment or service providers. Ask whether the proposed arrangement creates concentration and how continuity would be protected if performance deteriorates. Material legal and procedural requirements should be addressed through competent advice specific to the contract.

After signature

Examine reporting on delivery, variations, claims and service quality. The board should understand when changes materially alter the economics or risk it originally approved. Repeated exceptions may indicate a weak specification, insufficient contract-management capacity or a supplier problem that needs a different response.

Candidate evidence

Candidates should have senior governance, commercial, infrastructure or procurement experience with substantial contracts in a service environment. They need the ability to question both commercial assumptions and operational consequences. Experience managing the outcome of contracts, rather than only awarding them, is particularly relevant.

Scope of the director role

This is an independent director seat with collective responsibility and any assigned committee remit. The individual will not select bidders, negotiate terms or supervise contractors unless separately and properly authorised within the governance framework. The role is not a statutory audit or oversight-body appointment.

Expected contribution includes clearer contract approvals, stronger visibility of lifecycle cost and earlier recognition of supplier dependency. Candidates must disclose relationships with potential suppliers, contractors and advisers. Independence must be maintained where a familiar provider or a politically attractive timetable could otherwise discourage the board from asking whether the organisation can govern the commitment it is about to make.

Before you apply — Italy

No nationality or residency test applies to an Italian director. The route in that matters is procedural rather than legal: a place on a slate.

Residency test
None.
Nationality test
None.
Work authorisation
A non-executive director attending board meetings does not require a permit. Executive roles for non-EU nationals do, and are subject to the immigration decree quotas.
Tenure limit once appointed
No hard statutory cap. The 2020 Corporate Governance Code treats service exceeding nine years in the previous twelve as a circumstance that compromises independence, requiring the board to assess and disclose.
