Non-Executive Director for Financial Control During Growth

Audit and financial reporting organisation in France
The problem this seat exists to solve
The director will bring financial governance experience to a board overseeing expansion in a multinational service enterprise. The seat requires assessing whether finance capability, systems and management information can support increasing volume and complexity. It combines scrutiny of growth plans with the full collective responsibilities of a director.
Locate the pressure points
Examine where growth changes the demands on billing, collections, payroll, procurement and reporting. Ask whether the business is relying on manual effort that will become fragile as activity increases. Review management's understanding of the skills and leadership needed in finance, including the ability to challenge commercial decisions.
Consider expansion into new services or markets alongside control readiness. Management should identify which capabilities must exist before commitment and which can develop through a controlled transition. The board should not assume that processes adequate for a smaller business remain suitable simply because no major failure has occurred.
Investment and accountability
Contribute to decisions on finance resources, systems and assurance. Challenge both underinvestment and programmes whose complexity is disproportionate to the need. Ask for operating evidence that proposed changes will address the actual constraint. Review the effect of acquisitions, new customer arrangements and decentralised authority on reporting reliability.
The director will not act as an interim finance executive or personally approve routine transactions. Executives retain responsibility for implementation and controls. The board should establish appropriate escalation and independent review, with appointment and committee eligibility assessed for the actual entity.
Candidate requirements
Applicants should have led finance through significant business growth or held comparable governance responsibility. They must demonstrate judgement about when to add capability, change systems or simplify the operating model. Applications should explain an intervention that prevented growth from overwhelming the control environment, including how the cost and timing were justified.
The board's improved line of sight
Success means the enterprise can expand without losing confidence in its numbers or depending on exceptional effort from a few employees. The board should receive clearer readiness information and recognise emerging strain before it becomes a reporting failure. The director's contribution is to connect commercial ambition with a credible financial operating foundation, while preserving management's ability to respond quickly to worthwhile opportunities.

No nationality or residency test applies to a director of a French société anonyme. The constraint on a French board is its composition arithmetic, not your passport.
- Residency test
- None.
- Nationality test
- None.
- Work authorisation
- A non-executive director attending board meetings requires no work authorisation. An executive seat — directeur général or a directoire seat — held by a non-EU national raises residence-permit questions and should be checked before acceptance.
- Tenure limit once appointed
- Twelve years. Under the AFEP-MEDEF Code a director loses independent status on passing twelve years' service, and the board must state the position each year.
