The problem this seat exists to solve
The director will contribute to collective governance with particular attention to the retail proposition and the economics supporting it. The role involves testing whether strategy reflects how customers choose, shop and return, and whether management can deliver that promise consistently. This is a director appointment with enterprise-wide responsibility, not a marketing advisory assignment.
Strategic scrutiny
Challenge the coherence of price positioning, assortment, service, convenience and channel choices. Examine whether proposed growth depends on assumptions about customer behaviour that have been tested adequately. Ask management to distinguish a temporary response to competitive pressure from a sustainable source of preference.
Review customer evidence alongside financial performance. Aggregate satisfaction or sales growth can conceal deteriorating trust in availability, quality or value. Seek segmentation that is useful for decisions without losing sight of customers whose needs are less visible in digital data. Consider the reputational and operating consequences of changes to the offer.
Capital and execution
Contribute to board decisions on format investment, digital capability and commercial transformation. Test whether the investment plan supports the proposition or fragments it across too many initiatives. Challenge management to account for store execution, supplier relationships and employee capacity when proposing a new customer promise.
The director will oversee outcomes and management accountability rather than approve individual promotions or direct merchandising teams. Committee work will follow the board's needs and the requirements of the actual entity. Conflicts involving suppliers, competitors or other commercial interests must be disclosed and assessed.
**Qualifications for the seat.**
Candidates should bring senior retail or consumer-business leadership, strong financial literacy and evidence of governing consequential strategic choices. They must demonstrate how customer insight changed an investment or operating decision, including a case where attractive headline growth did not justify expansion. Prior board experience is useful, alongside the capacity for independent, collective judgement.
**What stronger customer scrutiny should achieve.**
The board should gain a clearer view of whether customers experience the intended proposition and whether it creates durable economic value. Effective contribution helps the enterprise invest selectively, recognise proposition drift early and hold management accountable for coherent delivery rather than a series of disconnected commercial initiatives.

No nationality or residency test applies to a director of a French société anonyme. The constraint on a French board is its composition arithmetic, not your passport.

- None.

- Work authorisation
- A non-executive director attending board meetings requires no work authorisation. An executive seat — directeur général or a directoire seat — held by a non-EU national raises residence-permit questions and should be checked before acceptance.
- Tenure limit once appointed
