The problem this seat exists to solve
The director will join a board responsible for a diversified enterprise and contribute independent judgement on portfolio direction, management capacity and capital allocation. The seat requires looking beyond individual business plans to assess whether the collection of activities has a coherent economic purpose. It is not an external consulting assignment or a mandate to run a business unit.
Challenge the ownership logic
Examine why the enterprise should own each activity, what advantages the centre provides and where shared costs or complexity obscure performance. Test whether proposed synergies are supported by actual operating relationships. Distinguish a temporary earnings issue from a business whose long-term competitive position or ownership rationale has weakened.
Contribute to decisions on investment, expansion, partnership and withdrawal using comparable assumptions and explicit opportunity costs. Challenge management to include execution capacity, downside exposure and the effect on other businesses. The board must understand what it is declining when it authorises a major commitment.
Governance responsibilities
Participate in collective strategy, risk, performance and succession oversight. Assess whether incentives and management information encourage appropriate decisions at both enterprise and business-unit levels. Seek evidence that central functions add value proportionate to their cost and influence. Support clear delegations while retaining scrutiny of matters reserved to the board.
The director will challenge and support executives without becoming a parallel reporting line for business-unit leaders. Appointment, independence and any committee responsibilities will be considered against the actual entity's governance requirements. Commercial relationships that could affect judgement must be disclosed.
**Evidence expected from candidates.**
Applicants should demonstrate senior leadership or board experience spanning more than one business model, with meaningful capital or resource allocation responsibility. They should explain a portfolio decision that involved giving up an attractive opportunity to protect a more important strategic objective. Financial literacy and the ability to interrogate operating assumptions are essential.
**The test of board contribution.**
A strong contribution produces clearer portfolio choices, more disciplined comparison of investments and earlier recognition of weak ownership logic. The board should become better able to explain how management attention and capital are distributed, and whether the resulting enterprise is stronger than its separate activities.

Before you apply — France
No nationality or residency test applies to a director of a French société anonyme. The constraint on a French board is its composition arithmetic, not your passport.
- Residency test
- None.
- Nationality test
- None.
- Work authorisation
- A non-executive director attending board meetings requires no work authorisation. An executive seat — directeur général or a directoire seat — held by a non-EU national raises residence-permit questions and should be checked before acceptance.
- Tenure limit once appointed
- Twelve years. Under the AFEP-MEDEF Code a director loses independent status on passing twelve years' service, and the board must state the position each year.
