The problem this seat exists to solve
The board seeks an independent director to chair audit oversight for an aviation-services business. The chair will focus on whether reported performance faithfully reflects the commercial and operating arrangements behind it, including customer advances, supplier commitments, service delivery and claims. The role calls for finance depth combined with an understanding that cash received and revenue earned may follow different timetables.
The financial evidence this committee needs
Review the principal accounting judgements and the controls supporting them. Examine how management records cancellations, refunds, commissions and outstanding service obligations. Require a clear explanation of estimates and unresolved reconciliations that could materially affect the financial statements or the board's view of liquidity.
Set an assurance agenda that follows the business
Agree priorities with internal and external assurance providers, giving attention to transaction completeness, payment controls and the reliability of operational data used by finance. The chair should test whether assurance reaches the systems and intermediaries where material information originates, rather than stopping at a reconciled general ledger.
Maintain constructive independent dialogue with auditors and ensure material findings receive accountable responses. Repeated control issues need examination of underlying causes, not only another target completion date. Escalate matters that require full-board judgement while keeping the committee focused on its agreed remit.
Candidate evidence and independence
Candidates need substantial financial reporting and audit experience, ideally involving aviation, travel or another service business with complex transaction flows. A relevant accounting qualification or equivalent depth of expertise is expected. They should demonstrate the ability to chair a rigorous discussion and explain its implications to directors with different backgrounds.
The appointment is a board seat with committee leadership responsibilities. Management prepares accounts and operates controls; auditors retain their independent responsibilities. The chair will not act as a finance executive or direct individual audit procedures.
Effective contribution means clearer reporting judgements, a risk-based assurance programme and timely closure of significant control weaknesses. Candidates must disclose interests involving service suppliers, intermediaries, funders and professional advisers. Appointment-specific eligibility and independence will be assessed against the governance arrangements applying to the seat, without assuming that a prior committee appointment automatically establishes suitability here.

Before you apply — France
No nationality or residency test applies to a director of a French société anonyme. The constraint on a French board is its composition arithmetic, not your passport.
- Residency test
- None.
- Nationality test
- None.
- Work authorisation
- A non-executive director attending board meetings requires no work authorisation. An executive seat — directeur général or a directoire seat — held by a non-EU national raises residence-permit questions and should be checked before acceptance.
- Tenure limit once appointed
- Twelve years. Under the AFEP-MEDEF Code a director loses independent status on passing twelve years' service, and the board must state the position each year.
