Board succession and governance organisation in France
The problem this seat exists to solve
The director will bring informed challenge to the governance of board and senior leadership appointments. The purpose is to ensure that succession decisions are based on the institution's needs, credible evidence and a fair process, especially when stakeholders have strong preferences about particular individuals or backgrounds.
Independence at the point of appointment
The seat includes full board responsibilities. Any nomination-related committee role will be determined for the specific appointment; the director is not being engaged to supply candidates or act as a recruiter.
Responsibilities in practice
Challenge role specifications that are overly shaped by an incumbent, a favoured candidate or a narrow interpretation of experience. Ask whether assessment criteria distinguish essential capability from desirable familiarity. Examine the evidence used to compare internal and external candidates and whether reference information is evaluated consistently.
Support clear handling of conflicts, confidentiality and stakeholder consultation. Ensure the board understands where decisions sit and how recommendations will reach the authorised appointing body. Review emergency succession arrangements as well as planned transitions, including the continuity of committee responsibilities and access to key information.
The director should help maintain accountability after appointment. Early expectations, induction and review should be sufficiently clear to identify whether a new leader has the support and authority required. A weak appointment process cannot be repaired simply by increasing pressure on the person selected.
Qualified candidates
Applicants should have substantial governance, board succession or senior leadership experience, with evidence of participating in consequential appointment decisions. Search and assessment experience is relevant where it is accompanied by understanding of director duties and organisational performance. Candidates must demonstrate discretion, independence and the ability to challenge influential preferences respectfully.
Financial literacy and readiness to contribute beyond nomination matters are essential. Applicants should explain how they have handled conflicting stakeholder views without turning consensus into the only measure of a good decision.
Contribution and limits
Success is a more defensible appointment process, credible leadership continuity and clearer accountability for the capability the organisation needs. Independence, conflicts and appointment-specific eligibility will be assessed. The director will act through collective governance and will not make unilateral hiring commitments, negotiate personal employment terms or derive commercial benefit from candidate introductions. The board should gain judgement, not another source of recruitment transactions.

Before you apply — France
No nationality or residency test applies to a director of a French société anonyme. The constraint on a French board is its composition arithmetic, not your passport.
- Residency test
- None.
- Nationality test
- None.
- Work authorisation
- A non-executive director attending board meetings requires no work authorisation. An executive seat — directeur général or a directoire seat — held by a non-EU national raises residence-permit questions and should be checked before acceptance.
- Tenure limit once appointed
- Twelve years. Under the AFEP-MEDEF Code a director loses independent status on passing twelve years' service, and the board must state the position each year.
