The problem this seat exists to solve
Outputs will include material findings, an indicative integration approach, cost ranges with assumptions and issues requiring protection or further diligence. A concise executive narrative should explain which findings affect price, conditions, timing or the post-completion plan. Qualified advisers retain responsibility for translating findings into contractual provisions.
What the transaction team will receive
The adviser will assess technology implications of a proposed enterprise acquisition, with attention to integration, service continuity and investment requirements. The engagement produces findings and options for the transaction team. It does not provide legal, accounting or valuation opinions, and the adviser has no authority to approve the transaction or make commitments to the target business.
Explain what the transaction would inherit
Review work should identify the technology capabilities supporting current operations and the constraints that may affect the buyer's plans. Application age alone is a poor guide to risk. The adviser must consider supportability, dependencies, data quality, operating knowledge and the consequences of changing systems that are deeply embedded in workflows.
Separate evidence from deal assumptions
The assessment will examine service performance, cybersecurity governance, major supplier contracts, licences, infrastructure and the internal team's capacity. Findings should distinguish verified issues, management representations and areas where access is insufficient. The absence of evidence must not be translated into a clean conclusion.
Test the route to integration value
Integration analysis will compare options such as retaining systems temporarily, migrating to the buyer's platforms or establishing a shared target architecture. The adviser will estimate transition effort and identify dependencies that could change the transaction timetable. Where healthcare operations are involved, clinical workflow and sensitive-information considerations require specialist input.
The adviser will test proposed synergies against the work required to realise them. Contract exits, data conversion, parallel running and organisational change may delay savings or consume much of their value. Recommendations should make those conditions visible and avoid presenting a preliminary estimate as a committed delivery budget.
Judgement with limited access
Candidates need senior experience in technology due diligence and enterprise integration, supported by the ability to assess operational realities under limited access. Healthcare or similarly complex information environments are particularly relevant. Independence, confidentiality and disciplined handling of uncertainty are essential.
Success is a transaction team that understands the technology obligations it may inherit and the choices available after completion. The adviser should provide enough clarity to influence the decision while preserving an honest distinction between what has been established and what can only be tested through deeper access or subsequent implementation work.

Before you apply — an advisory engagement
No office of director, and no appointment formalities.
An advisory engagement creates no directorship in Germany. There is no registry filing, no regulator pre-approval, no residency arithmetic and no statutory director liability — which is why it is so often the right first step into a market you do not yet know.
- On this brief
- Independence
- Where the engagement specifies independence from any search that follows, that is a requirement of the engagement rather than a courtesy — an adviser to a board is not a candidate for it.
