Interim Chief Restructuring Officer — Creditor-Supported Recovery

Restructuring and turnaround organisation in Germany

The problem this seat exists to solve

The interim CRO will lead an industrial recovery in which operating decisions and creditor support must be developed together. The assignment requires a defensible view of liquidity, management's execution capacity and the conditions under which a recovery remains viable.

A fact base lenders and management can use

Reconcile cash, commitments, financing obligations and the operating forecast. Identify differences between management's trading expectations and the assumptions used in creditor discussions. Make uncertainty explicit rather than resolving disagreement through an optimistic blended case.

The CRO should distinguish actions within management's control from outcomes dependent on customers, suppliers or funding parties. Each material recovery measure needs an owner, cash timing and an account of what happens if it is delayed.

Show how additional time or liquidity changes the operating outcome. A creditor concession that only funds continuing losses is different from one that enables an executable intervention. Examine restrictions on investment, asset movement or cash use that could prevent management from delivering the plan supporting the agreement.

Executive responsibilities through negotiation

Lead management's recovery plan and coordinate its contribution to financing discussions with appropriately qualified advisers. Compare alternatives using total funding need, operating disruption and execution risk. Protect essential activity while introducing disciplined approvals for discretionary commitments.

Restructuring experience and a sustainable exit

Candidates should have led an industrial restructuring with direct accountability for cash and implementation. They need practical experience of lender negotiations, manufacturing economics and communication under pressure. Evidence should include a material setback during a recovery and the decisions taken when the original assumptions no longer held.

Leave an owned recovery programme, a reliable forecast and clear triggers for revisiting the strategy. Management should understand the obligations it has accepted and be able to report progress without reconstructing the negotiation. Success is not merely an agreement: it is an operating route whose funding and implementation conditions remain consistent. Distress-related legal questions must be escalated for competent local advice as circumstances develop.

Before you apply — this is an executive role

An interim seat needs work authorisation. A board seat in Germany usually does not.

This is the single most common way a cross-border interim engagement falls apart after it has been agreed. The visa-free position that applies to a non-executive director attending board meetings does not extend to an executive or operating role.

Position in Germany
A supervisory board member attending meetings does not require a residence permit. A management-board (Vorstand) appointment for a non-EU national does, and is a substantially heavier process.
