The problem this seat exists to solve
Lenders have required an independent operating executive in the business before agreeing a standstill. The supervisory board needs someone who can hold both the operational plan and the lender relationship.
The remit
- Own the operational restructuring plan and its weekly cash discipline
- Manage the lender relationship and the standstill conditions
- Report to the supervisory board and to the works council on workforce implications
- Hand over to a permanent management board appointment
What the sponsor will not compromise on
- CRO or turnaround-management experience in a German or DACH industrial setting
- Fluent German — this role cannot be performed in English
- Experience of works-council negotiation under German co-determination

- Six to twelve months, full time, on site.
- Compensation
- EUR 2,200 – 3,000 a day.
- Cross-border
- German-language capability and co-determination experience are hard requirements. EU work authorisation, or an equivalent permit, is required.

An interim mandate needs work authorisation. A board seat in Germany usually does not.
This is the single most common way a cross-border interim engagement falls apart after it has been agreed. The visa-free position that applies to a non-executive director attending board meetings does not extend to an executive or operating role.
