Audit and financial reporting organisation in Germany
The problem this seat exists to solve
The director will strengthen board scrutiny of commercial controls in a business-services enterprise. The seat focuses on how bids, contracts, delivery and financial reporting interact, particularly where local commercial discretion can create obligations that become visible only later. It carries collective director responsibilities and does not involve approving ordinary customer contracts.
Follow the commitment
Challenge whether management can identify non-standard terms, delivery assumptions and material exceptions before work is accepted. Examine how pricing, scope changes, rebates and concessions affect reported margins. Ask whether operating teams receive the information needed to fulfil the commitment and whether unresolved commercial issues are reflected promptly in forecasts.
Review the quality of delegated authorities and the evidence from their use. Controls should direct attention to consequential exceptions rather than burden every routine transaction equally. Assess whether incentive arrangements encourage unsupported promises or delay the recognition of problems.
Scrutinise outcomes, not only approvals
Seek information on margin deterioration, disputes, aged receivables and recurring contract amendments. These may indicate weaknesses in qualification or delivery rather than isolated collection issues. Encourage management to connect commercial lessons back to future decisions and the development of local leaders.
The director will contribute to policy oversight, risk appetite and assurance priorities. Management retains authority for negotiations, customer relationships and contract execution. Legal or accounting interpretations require qualified advice, and material matters should follow the board's established decision routes.
Candidate qualifications
Applicants should demonstrate senior finance or general-management experience in a service business, with meaningful exposure to contract economics and multinational controls. They must explain a case where an apparently attractive commercial arrangement created hidden operating or financial exposure. The ability to challenge constructively without reducing commercial responsiveness is essential.
Contribution to board confidence
The appointment should help the board understand the quality of revenue and the reliability of management's commercial assumptions. Success is reflected in earlier visibility of weak commitments, clearer accountability and fewer recurring surprises between sale and cash collection. Independence, eligibility and any committee role will be assessed for the actual entity. The director must use operating insight to improve governance while resisting the temptation to become a second approval layer in the sales process.
