Software engineering organisation in Germany

The problem this seat exists to solve

This director will help the board assess whether product ambitions are supported by a viable engineering and economic model. The remit combines oversight of delivery capability, technical investment and the cost of supporting products after launch. It is a board appointment for someone who can make engineering trade-offs understandable without reducing them to simplistic productivity measures.

Technical and commercial qualifications

Candidates should have led a substantial engineering or product-technology organisation and participated in strategic decisions about software businesses. They need enough technical depth to challenge architecture arguments and enough commercial judgement to recognise when a technically elegant option is economically inappropriate. Board experience is welcome, but evidence of mature governance behaviour is essential in every case.

Product commitments, support and scalability

Challenge how management connects product strategy to capacity, architecture and customer commitments. Examine whether roadmap priorities reflect evidence about adoption and value or the accumulation of untested promises. Ask what maintenance, support and reliability work is displaced when new features receive priority, and whether the resulting exposure is visible to the board.

Review the economics of product variants, bespoke customer work and shared platforms. Apparent revenue growth may bring disproportionate support costs or constrain future development. The director should ask management to distinguish scalable product investment from custom delivery that needs different pricing and governance.

Scrutinise engineering measures for usefulness and unintended incentives. Delivery speed, incident frequency, service reliability and team stability must be interpreted together. Require a clear explanation of major technical investment requests, including the business constraint being removed and the evidence that the proposed approach is proportionate.

Contributing through the board

The director will act through collective board processes and any agreed committee remit. They will not select individual tools, manage development teams or become a parallel route for product prioritisation. Their value should be visible in clearer investment papers, more credible delivery commitments and a board that understands both the opportunity and continuing obligations of product growth. Candidates must demonstrate independence from potential technology suppliers and disclose advisory or investment interests that may affect decisions.

Appointment
Board appointment
Compensation
EUR 65,000–110,000 per year (indicative annual board fee)
Time commitment in this market
Typically 4–6 supervisory board meetings a year, with audit committees meeting more often and a heavier reading load than a unitary-board seat implies.

Before you apply — Germany

No nationality or residency test applies to a supervisory board member. The barriers are structural — co-determination, the seat cap and German-language board process — not legal.

Residency test
None.
Nationality test
None.
Work authorisation
A supervisory board member attending meetings does not require a residence permit. A management-board (Vorstand) appointment for a non-EU national does, and is a substantially heavier process.
Tenure limit once appointed
No statutory cap. The Code recommends that the supervisory board decide, and disclose, how many of its shareholder representatives it considers independent, and treats more than twelve years' service as an indicator to be addressed.
