Board succession and governance organisation in Germany
The problem this seat exists to solve
This director will help the board examine the relationship between executive performance, role design and organisational accountability. Repeated disappointment in senior appointments may reflect weak selection, but it can also arise from conflicting expectations, fragmented authority or responsibilities that no individual can realistically discharge.
Is the role impossible, or is the leader underperforming?
The appointment is for a non-executive director with commercial and governance judgement. The role includes wider strategy, risk and financial oversight and is not a consulting assignment to redesign the organisation personally.
Questions the director should bring
Challenge whether executive objectives are coherent and whether authority, resources and information are sufficient to deliver them. Examine interfaces between senior roles, especially where important decisions are shared without a clear resolution route. Ask whether performance reviews distinguish controllable delivery from constraints created by the board or operating model.
Review succession and hiring proposals for evidence that underlying design issues have been understood. A replacement should not be expected to solve contradictory responsibilities through personal strength alone. Support clear expectations for new leaders and appropriate review of whether the intended role is working in practice.
The director should also challenge excuses that use organisational complexity to avoid accountability. Good judgement requires distinguishing a genuine structural barrier from unwillingness or inability to act within an adequate mandate.
Experience that matters
Candidates should have senior general-management, board or governance experience with substantial responsibility for executive assessment and organisational change. Search or leadership advisory experience is relevant when supported by commercial understanding and evidence of diagnosing role requirements. Financial literacy is essential.
Applicants should explain a difficult case in which the appropriate answer was not simply to replace a leader, and another where a change in leadership was necessary. Independence, discretion and constructive challenge are central to the seat.
Contribution to the board
The director will support clearer executive mandates, more credible succession decisions and better accountability for performance. Eligibility, independence and conflicts will be assessed for the appointment. Management retains responsibility for organisation and staffing within delegation. Success is a board that can make better evidenced judgements about leaders, provide workable expectations and recognise its own role in creating the conditions for executive performance without reducing standards or avoiding difficult decisions.
