Restructuring and turnaround organisation in Germany

The problem this seat exists to solve

This appointment requires a director who understands creditor perspectives without confusing nomination with an instruction to act solely for a nominating party. The seat brings restructuring and industrial judgement to decisions about recovery, capital and management capability.

Candidate suitability

Candidates should have substantial experience in industrial finance, restructuring or investment oversight and credible board-level judgement. They must be able to explain how conflicts are identified and handled in practice. The actual duties, independence considerations and information-sharing arrangements need assessment for the entity and office concerned.

Board responsibility during recovery

Challenge the operating plan supporting the revised capital structure. Examine whether cash commitments, investment needs and expected distributions are consistent. Ask management to explain the consequences of a missed recovery milestone and the alternatives available if the investment thesis weakens.

The director should scrutinise value-realisation proposals that benefit one stakeholder immediately but leave the operating business with unsustainable obligations. Decisions must be considered through the board's responsibilities and supported by appropriate advice.

Information and conflicts

Establish how requests from a nominating party will be handled. Confidential board information should not become an informal reporting stream outside agreed authority. Financing proposals, related-party arrangements and exit preferences may require explicit conflict procedures, including appropriate recusal.

The contribution to a difficult decision

Where an owner prefers a faster exit, require an analysis of the entity's options and the operating consequences. Where management seeks more investment, test the evidence supporting it rather than assuming fresh funding always protects value. The director's role is neither automatic opposition nor automatic support.

Evidence of effective service

Applicants should discuss a situation where investor and entity-level interests diverged and explain the process used to reach a defensible decision. The board should gain clearer recovery challenge, more transparent conflicts and a disciplined account of why capital choices are supportable. Operating execution remains with management.

Compensation
EUR 65,000–110,000 per year (indicative annual board fee)
Time commitment in this market
Typically 4–6 supervisory board meetings a year, with audit committees meeting more often and a heavier reading load than a unitary-board seat implies.

Before you apply — Germany

No nationality or residency test applies to a supervisory board member. The barriers are structural — co-determination, the seat cap and German-language board process — not legal.

Residency test
None.
Nationality test
None.
Work authorisation
A supervisory board member attending meetings does not require a residence permit. A management-board (Vorstand) appointment for a non-EU national does, and is a substantially heavier process.
Tenure limit once appointed
No statutory cap. The Code recommends that the supervisory board decide, and disclose, how many of its shareholder representatives it considers independent, and treats more than twelve years' service as an indicator to be addressed.
