The chair will strengthen the committee’s ability to identify weaknesses in consolidation, financial controls and audit coordination before they affect group reporting.
Financial assurance across borders
The chair leads the audit committee under its approved charter and reports its conclusions to the board. Finance management prepares the accounts and operates the controls; independent auditors conduct the audit.
During each reporting cycle
1. Align the committee calendar with group reporting deadlines, significant transactions and component audit activities.
2. Challenge consolidation processes, entity-level control assurance and material intercompany balances.
3. Coordinate auditor communication and scrutiny of significant estimates across jurisdictions without duplicating management responsibilities.
Between reporting cycles
You will review the competence and capacity of finance teams supporting complex reporting requirements. You will oversee remediation of audit findings and assess whether management’s evidence supports closure.
Evidence to bring to the appointment
The role requires verified accounting credential and audit chair experience, with demonstrated exposure to cross-border financial reporting and resources operations.
Additional useful experience includes experience with both Canadian and US-listed companies and finance function upgrades following international expansion.
The first year in office
- First reporting cycle: map reporting dependencies and agree how material component issues reach the committee.
- Within six months: assess the most consequential control gaps and management’s resourcing response.
- Within twelve months: demonstrate more consistent committee visibility of reporting judgements, audit findings and unresolved remediation.
- An initial three-year term is envisaged, with approximately twenty-five to thirty-five days annually and additional availability around reporting periods or major transactions. Start date, remuneration, travel and on-site attendance will be agreed for the appointment.

- At least two of the three minimum directors of a public company must ordinarily reside in Australia (Corporations Act s.201A(2)). On a larger listed board this is rarely binding, but on a smaller one it can be the reason a foreign candidate is declined.
- Nationality test
- None.
- Work authorisation
- A non-resident non-executive director attending board meetings does not require a work visa. An executive or interim operating role requires a Subclass 482 or equivalent.
- Tenure limit once appointed
- No hard cap. Box 2.3 of the ASX Principles treats service of more than ten years as a factor that may compromise independence, requiring the board to satisfy itself and disclose its reasoning.
