Corporate finance and capital structure organisation in United Arab Emirates
The problem this seat exists to solve
This assignment is to make downside planning useful to senior management and the board. The adviser will replace disconnected sensitivities with an integrated view of earnings, cash, financing headroom and operational responses. The work should show not only what could happen, but when decisions would need to be taken and which options would still be available at that point.
Build a model that changes decisions
Start with a coherent operating model
Review the existing planning model for internal consistency and trace the principal drivers to operating evidence. A percentage reduction in revenue is insufficient if it leaves inventory, staffing, payment terms and capital commitments unchanged without explanation. Identify where management can respond quickly, where response has a cost and where contractual or physical constraints limit flexibility.
Candidate expertise
Candidates should combine advanced financial modelling with practical group-finance experience. They need the confidence to challenge assumptions and the judgement to avoid overstating what a model can predict. Experience presenting downside analysis to boards, lenders or investment committees is relevant when supported by evidence that it informed actual choices.
Construct the response alongside the scenario
Develop scenarios around distinct mechanisms rather than arbitrary levels of pessimism. Examples include slower customer payment, input-cost disruption, delayed capacity commissioning or a change in product mix. Evaluate combinations only where their relationship is credible, and make uncertainty visible instead of disguising it with excessive numerical precision.
For each material scenario, define warning indicators, decision owners and response lead times. Assess the consequences of actions such as delaying investment, changing procurement volumes or seeking financing support. Identify the point at which an apparently protective action could damage service, supplier confidence or future earning capacity.
Transfer the model and its limitations
Deliver a documented model, a concise decision narrative and an operating process for refreshing the analysis. Finance staff should understand the model well enough to own it after handover. This is an advisory role without power to direct spending, renegotiate contracts or approve financing. Management must validate operating assumptions, and the relevant decision-makers retain accountability for selecting and implementing responses. The adviser should identify limitations explicitly, including data gaps that materially affect the confidence placed in results.

Before you apply — an advisory engagement
No office of director, and no appointment formalities.
An advisory engagement creates no directorship in the United Arab Emirates. There is no registry filing, no regulator pre-approval, no residency arithmetic and no statutory director liability — which is why it is so often the right first step into a market you do not yet know.
- On this brief
- Independence
- Where the engagement specifies independence from any search that follows, that is a requirement of the engagement rather than a courtesy — an adviser to a board is not a candidate for it.
