Corporate finance and capital structure organisation in United Arab Emirates
The problem this seat exists to solve
Deliverables include a common investment-paper standard, a prioritised portfolio assessment and a proposed review calendar with clear decision triggers. This is an advisory mandate: management owns business cases and the board or authorised executives retain approval powers. The adviser must disclose any interests in potential vendors, acquisition targets or financing providers and should not receive incentives that favour approving more capital expenditure.
Make competing investment requests comparable
This engagement concerns the quality of capital decisions across businesses with different asset lives, cash cycles and growth prospects. The adviser will develop a decision framework that helps leaders compare maintenance expenditure, capacity expansion, digital investment and acquisitions without pretending that one financial ratio can resolve every trade-off.
The starting point is the existing investment pipeline and the assumptions embedded in it. Review how demand, utilisation, pricing, project delays and ongoing support costs enter proposals. Identify where business cases omit working capital, transition losses, decommissioning obligations or additional management capacity. Separate unavoidable expenditure from genuinely discretionary choices so that the portfolio is not debated as a single undifferentiated budget.
Compare options before ranking projects
Construct a small number of meaningful scenarios and show which investments remain attractive across them. Assess the value of staging commitments, preserving options or deferring expenditure until a specific uncertainty is resolved. Where strategic arguments support a weak near-term financial return, require an explicit explanation of what capability or market position is being purchased and how progress can be observed.
Stage commitments and learn from outcomes
The adviser should help management design approval thresholds and review points appropriate to the scale and reversibility of decisions. A proposal that materially changes after approval must have a route back to decision-makers. Post-investment review should examine assumption quality and lessons, rather than becoming a ritual comparison against an outdated forecast.
Qualifications for this analysis
Candidates should combine senior corporate finance experience with direct exposure to industrial operations and investment delivery. They must be able to interrogate a model, discuss engineering and commercial assumptions respectfully, and produce recommendations that executives can act upon. Experience identifying underperforming capital programmes is especially relevant when accompanied by evidence of constructive corrective choices.

Before you apply — an advisory engagement
No office of director, and no appointment formalities.
An advisory engagement creates no directorship in the United Arab Emirates. There is no registry filing, no regulator pre-approval, no residency arithmetic and no statutory director liability — which is why it is so often the right first step into a market you do not yet know.
- On this brief
- Independence
- Where the engagement specifies independence from any search that follows, that is a requirement of the engagement rather than a courtesy — an adviser to a board is not a candidate for it.
