An engagement built around a commercial agreement
The adviser works with the CEO or an appointed executive sponsor. Recommendations, analysis and coaching form the deliverables; management retains approval and implementation responsibility.
Define the partnership
You will develop a shared investment thesis, contribution schedule and operating model for the proposed partnership. You will compare funding and ownership options under realistic base and downside operating scenarios.
Resolve the difficult terms
- Define commercial positions on reserved matters, reporting, additional capital, deadlocks and potential exits.
- Coordinate financial, commercial and operational diligence, escalating gaps that materially affect economics or control.
Bring the sponsors to a decision
You will prepare negotiation briefs and a decision record so the sponsor understands unresolved trade-offs before committing. At completion: hand over an implementation plan with funding milestones, governance responsibilities and outstanding conditions.
Interim outputs
**First month.** Deliver a partner alignment assessment and a register of commercial issues requiring resolution.
**By month three.** Present an agreed commercial framework and diligence findings for sponsor consideration.
Experience and availability
The role requires experience structuring cross-border transactions or partnerships, strong commercial modelling and negotiation skills, and effective coordination of external advisers.
Additional useful experience includes direct experience resolving joint venture governance disputes or supporting partnerships through their first operating year.
The initial advisory period is expected to run for three to six months, typically two to six days a month, with workshops scheduled around the agreed outputs. Start date, remuneration, travel and on-site attendance will be agreed for the appointment.
