Corporate finance and capital structure organisation in United Arab Emirates
The problem this seat exists to solve
The appointment adds independent finance judgement to a group whose governance must work across UK and UAE operations. The director will examine how performance, cash, commitments and risk are reported across the boundary, with particular attention to inconsistencies that can disappear inside consolidated totals. The objective is coherent oversight while recognising that operating entities may face different practical and contractual constraints.
A board view across two financial environments
Follow the cash across entities
The director should challenge whether central expectations are supported by local information and authority. Review the reliability of forecasts, the ownership of intercompany balances and the treatment of shared costs. Where management describes a business as profitable but its cash consumption continues, require a clear explanation of the difference and a credible response.
Scrutinise proposals for guarantees, intercompany funding, distributions and significant commitments. Ensure papers explain which entity receives the benefit, which carries the risk and how the arrangement affects other stakeholders. Complex tax, legal and regulatory questions should receive competent specialist advice rather than be resolved through informal assumptions in a finance model.
Capability and independent perspective
Candidates require senior group-finance or board experience spanning international operations, with meaningful exposure to both UK and Gulf business environments. They should have managed the tension between consolidated reporting discipline and local commercial realities. Evidence of constructive challenge on related-party arrangements, cash transfers or cross-border commitments is particularly useful.
Oversight of the finance organisation
Examine the organisation of finance itself: reporting lines, succession, segregation of duties and access to independent assurance. The board needs visibility of weak controls without automatically centralising every decision. The director should help establish escalation thresholds that respect local management responsibility while preventing material exposures from remaining isolated in a subsidiary.
This is a statutory board role subject to the appointment's governing arrangements, not an outsourced CFO position. The director participates in collective decisions and committee work as agreed, while executives retain day-to-day financial management. Effective contribution will be visible in clearer entity-level accountability, better-supported funding decisions and financial reporting that exposes rather than conceals differences across the group. Independence, availability and potential conflicts will be examined before appointment.

Before you apply — United Arab Emirates
Foreign nationals sit on UAE boards routinely, and the 2021 companies law removed the general Emirati-ownership requirement — but sector rules, Emiratisation expectations and the free-zone regulators' approval processes still shape who can be appointed where.
- Residency test
- No general residency requirement for a PJSC director, but some regulated and strategic sectors carry nationality or residency conditions, and free-zone regulated firms have their own residency expectations for certain controlled functions.
- Nationality test
- Certain strategic sectors retain Emirati ownership and board-composition conditions; check the sector before assuming the general position applies.
- Work authorisation
- A non-resident non-executive director attending board meetings travels on a visit visa. A resident director role, or any controlled function at a DIFC or ADGM firm, typically requires residency and a work permit.
- Tenure limit once appointed
- Board terms run for three years and are renewable. There is no absolute cap, but the SCA guide's independence criteria are applied at each renewal.
