Hospitality and property investment organisation in United Arab Emirates
The problem this seat exists to solve
The director will scrutinise investment partnerships through the decisions they must support over time. The seat requires understanding of capital contributions, control, incentives and the mechanisms used when partners disagree or circumstances change.
Board responsibility
Review material joint investment proposals and the commercial allocation of risk. Ask which decisions require agreement, which are delegated and how information reaches each governing body. Examine arrangements for additional capital, distributions, exits and related-party services with the relevant specialists.
A downside case for governance
Test the arrangement when a partner cannot contribute funding, an operating plan underperforms or one investor seeks an earlier exit. Determine whether the proposed mechanisms are usable in practice and whether the venture can continue making necessary decisions. A negotiated balance at signing does not prove that control remains workable under stress.
Qualified candidates
Candidates should have substantial owner-investor, joint venture or private-investment governance experience. They need commercial negotiation skill and the ability to assess agreements through their operating consequences. Experience of renegotiating a partnership after circumstances changed is particularly relevant.
What investment papers should explain
Require a clear comparison of the proposed structure with credible alternatives. Identify the capability contributed by each partner and the consequences if that contribution weakens. The director should challenge arrangements whose economics depend on informal goodwill or relationships that the entity cannot control.
Conduct and contribution
The appointment is a non-executive board role. Legal drafting and transaction execution remain with authorised management and specialists. The director should maintain an entity-level perspective, disclose interests and use formal conflict procedures where required.
Applicants should describe a partnership that appeared commercially attractive but needed different governance to become investable. Effective service will improve the quality of capital commitments and reduce ambiguity about who can decide, who bears the cost and how the investment can adapt.

Before you apply — United Arab Emirates
Foreign nationals sit on UAE boards routinely, and the 2021 companies law removed the general Emirati-ownership requirement — but sector rules, Emiratisation expectations and the free-zone regulators' approval processes still shape who can be appointed where.
- Residency test
- No general residency requirement for a PJSC director, but some regulated and strategic sectors carry nationality or residency conditions, and free-zone regulated firms have their own residency expectations for certain controlled functions.
- Nationality test
- Certain strategic sectors retain Emirati ownership and board-composition conditions; check the sector before assuming the general position applies.
- Work authorisation
- A non-resident non-executive director attending board meetings travels on a visit visa. A resident director role, or any controlled function at a DIFC or ADGM firm, typically requires residency and a work permit.
- Tenure limit once appointed
- Board terms run for three years and are renewable. There is no absolute cap, but the SCA guide's independence criteria are applied at each renewal.
