This is a nonexecutive appointment. The director contributes through the chair to collective board decisions and oversight; management retains responsibility for execution.
Pressure test the preferred route
You will challenge cash forecasts, debt capacity and the assumptions supporting the proposed refinancing. You will review lender engagement plans, information readiness and the timing of key funding decisions.
Keep alternatives and ongoing exposure visible
- Scrutinise alternative funding, asset disposal or expenditure options if the preferred process is delayed.
- Assess management’s ongoing monitoring of liquidity, covenant headroom and financing conditions.
- Ensure the board receives clear decisions and risk trade-offs at each stage of the financing process.
Readiness and decision milestones
1. First board cycle: agree a refinancing risk map, decision timetable and minimum information requirements.
2. Within three months: review credible downside funding options alongside the preferred route.
3. At the relevant financing milestone: assess terms, remaining conditions and management’s ability to meet ongoing reporting commitments.
Financial judgement required
The role requires senior CFO experience with material refinancing transactions, cash forecasting and board-level financial judgement.
Additional useful experience includes verified chartered accounting qualification, lender negotiation experience and previous nonexecutive appointments.
An initial three-year appointment is envisaged, with approximately eighteen to twenty-four days annually for meetings, preparation and committee work. Start date, remuneration, travel and on-site attendance will be agreed for the appointment.
